These Terms & Conditions ("Terms") govern your access to and use of OxCode, the OxCode website, and the founding alpha access program, all operated by ResoluteX Technology Labs Ltd, trading as Oxlo.ai, of Dubai AI Campus, DIFC, Dubai, United Arab Emirates ("Oxlo," "we," "us," or "our"). By requesting access, installing OxCode, or otherwise using our services, you agree to these Terms.
1. The service
OxCode is an AI engineering assistant, currently distributed as a VS Code extension, that helps you plan, write, debug, and ship software using natural language, voice input, and native-language coding. OxCode is under active development and is provided during a private, invite-only alpha phase. Features, availability, and behavior may change materially, without notice, as the product evolves.
2. Alpha access and eligibility
- Alpha access is invite-only and limited to a founding cohort of selected applicants.
- Submitting a request for access does not guarantee acceptance into the program.
- Access during the alpha is provided free of charge; this does not obligate Oxlo to offer free access to any future version of OxCode.
- We may ask alpha participants to provide regular feedback, report bugs, or take part in a feedback loop as a condition of continued access.
- You must be at least 16 years old, and have the authority to agree to these Terms on behalf of yourself or the organization you represent, to request or use access.
3. Accounts and access codes
If you are selected for the alpha, you may be issued an account and an access code. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at hello@oxlo.ai if you suspect unauthorized use of your account.
4. Acceptable use
You agree not to:
- Use OxCode for any unlawful purpose or in violation of any applicable law or regulation;
- Reverse engineer, decompile, or attempt to extract the underlying models or source code of OxCode, except where applicable law permits it;
- Circumvent, disable, or interfere with access controls, rate limits, or security features;
- Use OxCode to build a competing product using access granted under the alpha program;
- Share your access code or account with anyone outside your organization without our consent; or
- Submit content through OxCode that infringes the rights of others or contains malicious code.
5. AI-generated output and no warranty
OxCode uses AI models to generate plans, code, explanations, and other output ("Output"). Output may be inaccurate, incomplete, or unsuitable for your use case. You are solely responsible for reviewing, testing, and validating any Output before relying on it, including code that is compiled, executed, deployed, or shipped to production. OxCode is provided during an alpha phase "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.
6. Intellectual property
Oxlo retains all rights, title, and interest in and to OxCode, this website, and all related technology, trademarks, and branding. As between you and Oxlo, you retain ownership of the code, prompts, and content you submit to OxCode, and of the Output generated for you, subject to the rights of any third-party AI providers whose models are used to produce that Output and to open-source or third-party components it may incorporate.
7. Feedback
If you provide suggestions, bug reports, or other feedback about OxCode, you grant Oxlo a perpetual, irrevocable, royalty-free license to use that feedback to improve OxCode and our other products and services, without any obligation to compensate you.
8. Third-party services
OxCode integrates with third-party tools and infrastructure, including Visual Studio Code and one or more AI model providers. Your use of those third-party tools is subject to their own terms and policies, and Oxlo is not responsible for their acts or omissions.
9. Suspension and termination
We may suspend or terminate your access to OxCode at any time, with or without notice, including if we reasonably believe you have violated these Terms, misused the alpha program, or if we discontinue the alpha or the product. You may stop using OxCode and request removal of your account at any time by contacting us.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, Oxlo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of OxCode, even if advised of the possibility of such damages. Oxlo's total liability arising from these Terms or your use of OxCode will not exceed the amount you paid Oxlo for OxCode in the twelve months preceding the claim (which, during the free alpha, is zero).
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify alpha participants directly. Continued use of OxCode after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), without regard to conflict-of-law principles, unless a different law is required to apply by the jurisdiction in which you reside. The courts of the DIFC (the "DIFC Courts") have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
